- Using Our Technology
- You may use Ministry Dynamics (“MD”) technology (WiFi Presence/TapConnect) only for its intended purpose.
- Support & Updates
- We’ll provide regular upgrades, fixes, and remote support. You’ll give us reasonable access time for maintenance.
- Installation
- You’ll provide any technical details and network access needed for setup.
- Ownership & Rights
- MD owns all technology, trademarks, and intellectual property. You’re licensed to use it but can’t copy, change, or reverse engineer it.
- Confidentiality
- Both sides agree to keep each other’s confidential information private, unless legally required to share.
- Payments
- All invoices are due within 30 days in U.S. dollars. Late payments may result in suspension of service.
- Taxes
- You are responsible for any applicable taxes or fees.
- Warranties & Liability
- Our services are provided “as is.” We don’t make guarantees about performance. Neither party is responsible for indirect or incidental damages.
- Indemnity
- You agree to protect MD from claims or damages caused by your misuse, breach of this agreement, or third-party content.

Term & Renewal
WiFi Presence: one-year term, renews automatically each year unless canceled.
TapConnect: monthly or annual subscription, renews automatically unless canceled. - Compliance with Laws
- Both parties agree to follow all applicable laws.
- Non-Solicitation
- You agree not to recruit MD employees or develop competing products during the term.
- Dispute Resolution
- We’ll try to resolve disputes informally. If needed, arbitration will take place in California under California law.
- Independent Relationship
- We’re independent contractors, not partners, agents, or employees of each other.
- Notices
- Official notices must be in writing and sent by certified mail, courier, or email with confirmation.
- Entire Agreement
- This document is the full agreement and overrides all prior discussions. Changes must be in writing and signed by both parties.
- Severability
- If any part of this agreement is invalid, the rest remains in effect.
